1. Engagement & Scope of Work

DeyBiz shall provide IT services including (but not limited to) software development, IT consulting, staffing, digital marketing, enterprise solutions, and data processing based on mutually agreed proposals, project briefs, or service agreements.


2. Payment Terms

  • Payments must be made as per the agreed milestones, retainer model, or subscription terms.

  • Invoices are due within 7-15 days (unless otherwise stated). Late payments may incur a 2% monthly interest.

  • Project delays caused by the client may result in revised timelines and additional charges.

3. Intellectual Property Rights

  • Upon full payment, the client owns the final deliverables.

  • DeyBiz retains the right to reuse code frameworks, templates, or non-client-specific tools used during project delivery.


4. Confidentiality

Both parties agree to maintain the confidentiality of sensitive data shared during the engagement. Non-disclosure agreements (NDAs) may be signed upon request.


5. Revisions & Scope Changes

  • Minor revisions are typically included as per the project scope.

  • Major changes or additional features outside the original scope may be charged additionally at agreed hourly or fixed rates.


6. Timelines & Delays

  • Timelines will be estimated at project start and depend on timely client inputs.

  • DeyBiz is not liable for delays caused by third-party service providers or client inaction.

7. Warranties & Support

  • DeyBiz provides a 15–30 day post-delivery warranty for bug fixes (unless otherwise stated).

  • Ongoing maintenance or technical support will be governed under separate agreements or monthly retainers.


8. Termination Clause

  • Either party may terminate the engagement with 15 days’ notice.

  • The client must pay for all completed work up to the termination date.

  • DeyBiz reserves the right to suspend work due to non-payment or breach of terms.

9. Limitation of Liability

DeyBiz is not liable for indirect, incidental, or consequential damages including data loss, service downtime, or third-party service failures.


10. Governing Law

These terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of the courts in Kalyani, WB, IND.


11. Acceptance

By engaging with DeyBiz or using our services, the client agrees to these working terms.
